THIS NON-DISCLOSURE AGREEMENT (this “Agreement”) is entered into between MIND CHATTER MEDIA, LLC (together with its current or future subsidiaries, affiliates, successors and assigns, the “Company”), and [_____] (the “Recipient”), as of ___________, 2025 (the “Effective Date”), to protect the confidentiality of certain confidential information of the Company to be disclosed to the Recipient solely for use in evaluating and executing a potential business relationship between the Company and the Recipient (the “Purpose”). 1. As used herein, “Confidential Information” will mean any and all proprietary, confidential, non-public, technical and non-technical information related to the Company provided by or on behalf of the Company to the Recipient, whether or not marked or otherwise identified as “confidential” or “proprietary,” which may include without limitation information regarding: (a) trade secrets; (b) information about the Company’s historical, current and future business including, without limitation, the Company’s financial condition, budgets, financial statements and tax information, the Company’s business plans, the Company’s marketing and sales programs, terms and conditions of sales and offers of sales of products and/or services by the Company and strategic plans, the terms, conditions and current status of the Company’s agreements and relationships with any customers, vendors, suppliers, and candidates, the identities and/or business preferences of the Company’s actual and prospective customers, candidates, vendors, and suppliers or any employee or agent thereof with whom the Company communicates along with the Company’s practices and procedures for identifying prospective customers, candidates, vendors, and suppliers, the names and identities of any and all of Company’s customers, including any and all customer lists, databases, or similar compilations, the know-how, manufacturing processes and techniques, manufacturing methods, algorithms, regulatory approval strategies, computer programs, data, schematics, design work, formulae, and compositions, service techniques and protocols, research and development data, developmental or experimental work, clinical data, test data, discoveries, improvements, plans for research, new and existing product designs and specifications, any modifications to such product designs and specifications, sketches, photographs, plans, drawings, product concepts, improvements, specifications, samples, reports, notebooks, personnel information including the productivity and profitability (or lack thereof) of Company’s employees, agents, or independent contractors, any internal communications between the Company, its officers, directors, shareholders, or employees, and any communications with an attorney retained by the Company for any purpose, or any person retained or employed by such attorney for the purpose of assisting such attorney in his or her representation of the Company, and the cost or overhead associated with the goods and services provided by the Company and/or information regarding the Company’s pricing structure for its goods or services, including, without limitation, its margins, discounts, volume purchases, mark-ups, or incentives; (c) the identities of the officers, managers and equity holders of the Company together with any information that is not generally known to the public about such person(s), including, without further limitation, information about their financial affairs, business affairs and personal affairs, and any physical items relating in any way to any of them (including, by way of example and not limitation, photographs, films, videos, tapes and other records or recordings of or relating to them and any of their friends, family and business associates, their voices or likenesses, and any of their assets or activities); and (d) all other information that the Recipient knew, or reasonably should have known, was confidential or proprietary to the Company. “Confidential Information” does not include information that the Recipient is compelled to disclose pursuant to a valid and effective subpoena, the order of a court of competent jurisdiction or government authority, provided that the Recipient shall (to the extent legally permitted) notify the Company immediately of such demand for disclosure and shall cooperate with the Company in using all reasonable efforts to resist such disclosure. 2. Subject to Section 3, the Recipient agrees that at all times it will hold in confidence and not disclose to any third party, nor use, any Confidential Information, except as approved in writing by the Company or permitted by the terms of this Agreement. The Recipient further agrees that any and all terms of a business transaction between the Recipient and the Company, and all past, present and/or future discussions related thereto, shall also be included within the definition of Confidential Information. Except as permitted herein, Recipient shall not disclose the existence or terms of this Agreement, the fact that Confidential Information has been made available to the Recipient, that discussions or negotiations are taking place concerning the Purpose, or any or the terms conditions or other facts with respect thereto (including the status thereof). 3. Notwithstanding the foregoing, the Recipient may only disclose the Confidential Information to only those of the Recipient’s legal counsel and accountants (collectively, its “Representatives”) who Recipient reasonably determines need to know the Confidential Information in connection with the Purpose, it being understood that the Representatives to whom such disclosure is made will be informed of the confidential nature of such Confidential Information and instructed to keep such Confidential Information confidential; provided that the Recipient agrees that it shall be liable for any breach of the obligations herein by its Representatives. 4. The Recipient will promptly notify the Company in the event of any known loss or unauthorized disclosure of any Confidential Information. 5. Upon written request of the Company, the Recipient will promptly return to the Company or destroy (at the Company’s option) all documents and other tangible materials representing any Confidential Information and all copies thereof, and provide confirmation in writing of such action (email being sufficient). 6. Confidential Information is and shall remain the sole property of the Company. The Recipient recognizes and agrees that nothing contained in this Agreement will be construed as granting any property rights, by license or otherwise, to any Confidential Information disclosed under this Agreement. Neither this Agreement nor the disclosure of any Confidential Information hereunder shall result in any obligation on the part of either party to enter into any further agreement with the other or to require the Company to disclose any particular Confidential Information. Nothing in this Agreement creates or shall be deemed to create any joint venture or agency between the parties. Neither discussions between the Recipient and the Company concerning the Purpose nor the disclosure of Confidential Information may be construed to limit the right of the Company to engage in similar discussions with others or to furnish Confidential Information to others. 7. Confidential Information will not be reproduced in any form except as required to accomplish the intent of this Agreement. Any reproduction of any Confidential Information will remain the property of the Company and will contain any and all confidential or proprietary notices or legends that appear on the original, unless otherwise authorized in writing by the Company. 8. EXCEPT AS OTHERWISE EXPRESSLY AGREED IN A BINDING WRITTEN AGREEMENT, THE COMPANY IS PROVIDING CONFIDENTIAL INFORMATION ON AN “AS IS” BASIS. 9. The Recipient agrees that for a period of five (5) years from the date of this Agreement the Recipient will not, directly or indirectly, (a) solicit or hire any of the Company’s employees or individual contractors, (b) induce or attempt to induce any of the Company’s employees or individual contractors to leave the Company’s service, or (c) encourage, cause or in any way assist any third party to do either of the foregoing; provided, that the limitations of this paragraph shall not apply with respect to a general solicitation in newspapers or similar mass media not targeted toward the Company’s employees and contractors. 10. This Agreement and any action related thereto will be governed, controlled, interpreted, and defined by and under the laws of the State of California, without giving effect to any conflicts of laws principles that require the application of the law of a different state. Any disputes under this Agreement may be brought in the state courts and the Federal courts in Los Angeles, California, and the parties hereby consent to the personal jurisdiction and exclusive venue of these courts. This Agreement may not be amended except by a writing signed by both parties. 11. The Recipient hereby agrees that its breach of this Agreement may cause irreparable damage to the Company for which recovery of damages may be inadequate, and that the Company will be entitled to timely injunctive relief under this Agreement, as well as such further relief as may be granted by a court of competent jurisdiction without the requirement to post a bond. 12. If any provision of this Agreement is found by a proper authority to be unenforceable or invalid, such unenforceability or invalidity will not render this Agreement unenforceable or invalid as a whole and, in such event, such provision will be changed and interpreted so as to best accomplish the objectives of such unenforceable or invalid provision within the limits of applicable law or applicable court decisions. Any waiver or failure to enforce any provision of this Agreement on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion. 13. The Recipient will not assign or transfer any rights or obligations under this Agreement without the prior written consent of the Company and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. The Company shall be permitted to assign or otherwise transfer this Agreement in its sole discretion. 14. All notices or reports permitted or required under this Agreement will be in writing and will be delivered by personal delivery, electronic mail, facsimile transmission or by certified or registered mail, return receipt requested, and will be deemed given upon personal delivery, five (5) days after deposit in the mail, or upon acknowledgment of receipt of electronic transmission. Notices will be sent to the addresses set forth at the end of this Agreement or such other address as either party may specify in writing. 15. No modification of or amendment to this Agreement will be effective unless in writing and signed by each of the parties hereto.
